ASTR Rewards Terms & Conditions

1. PROGRAM OVERVIEW

ASTR Rewards (“Program”) is a loyalty program offered by ASTR The Label (“ASTR,” “we,” “us,” or “our”) that allows eligible customers (“Members,” “you” or “your”) to earn points (“Points”), redeem rewards (“Rewards”), and access tier-based benefits.

These Terms & Conditions (“Terms”) govern your participation in the Program and form a binding agreement between you and ASTR.

By enrolling or participating in the Program, you agree to these Terms, as well as ASTR’s Website Terms of Use and Privacy Policy, which are incorporated by reference. In the event of any conflict, these Terms will govern.

Participation in the Program is optional. Membership is not required to make a purchase from ASTR the Label. Participation in the Program may involve the collection and use of personal information, including but not limited to, account information, purchase history, engagement activity, and Reward activity, as described in our Privacy Policy and any applicable additional terms or regulation.


2. DEFINITIONS

The following capitalized terms shall have the meanings assigned to them below throughout these Terms, unless otherwise expressly defined or the context requires a different interpretation.:

  • “Account” refers to your ASTR customer account associated with the Program;
  • “Account Activity” means qualifying actions that maintain an active Account;
  • “Eligible Purchases” means qualifying transactions that earn Points;
  • “Tier Status” refers to your membership level based on your qualifying spend;
  • “Points” refers to promotional units awarded for eligible activity; and
  • “Rewards”- promotional discounts issued in exchange for Points.
  • For clarity, both Points and Rewards: (i) have no cash value; (ii) are not property; (iii) are not transferable; (iv) do not create any vested right or interest; (v) are promotional benefits issued without payment or other consideration, unless otherwise stated; and (vi) are not gift cards, gift certificates, stored-value cards, or cash-equivalent instruments.


3. MEMBERSHIP ELIGIBILITY & ENROLLMENT

3.1 Eligibility

To be eligible for the Program, a customer must: (i) be a resident of the United States, (ii) be at least eighteen (18) years of age or the age of majority in their state of residence, whichever is the older age; (iii) be an individual and not a residence, family, corporation, or any other organization; and (iv) limit themselves to one Account in the Program. This Program is void where prohibited.

3.2 Enrollment

You may enroll by creating an ASTR account online at https://www.astrthelabel.com/account/register. You agree to provide us with accurate and current information. By enrolling in the Program, you are consenting to the Program terms presented at enrollment. Where required by law, enrollment in the Program and participation in any financial incentive will require prior opt-in consent, which you may revoke at any time.

Purchases must be associated with your Account at the time of purchase or submitted within the designated claim period to be eligible for Points.

3.3 Account Limitations

Accounts (i) are non-transferable, and (ii) may not be sold, assigned, or shared. ASTR reserves the right, in its sole discretion, to either: (a) merge, suspend or terminate Accounts; or (b) revoke Points and/or Rewards where we reasonably believe there has been fraud, abuse, error, duplicate account activity, resale activity, violation of these Terms or any other misuse of this Program. ASTR will not suspend or terminate an Account, revoke Points or Rewards in a manner that violates applicable law.


4. PROGRAM STRUCTURE

The Program includes but is not limited to: (i) earning Points, (ii) redeeming Rewards, and (iii) Tier-based benefits, where applicable.

All Program features are promotional and subject to change, substitution, or discontinuation at any time, including changes that may reduce or eliminate the value of Points or Rewards, subject to applicable law and any notice required by these Terms. Material changes shall not apply retroactivity to Rewards already issued, except where necessary to correct errors, prevent fraud, abuse, or comply with law.


5. EARNING POINTS

5.1 Eligible Purchases

Points are earned when Member makes Eligible Purchases. An “Eligible Purchase” is defined as merchandise purchases made directly through ASTR channels.

Points are calculated based on net spend as opposed to total spend. Your net spend is calculated starting with your purchase subtotal less (i) any discounts, promotions, gift cards, and/or store credit; and (ii) any taxes shipping costs and fees associated with the Eligible Purchase.

ASTR determines Eligible Purchases in its sole discretion based on the criteria stated in these Terms and any applicable promotion-specific terms.

5.2 Earning Rates

Members may earn one (1) Point per one dollar ($1) spent. Portions of a dollar are not eligible for a portion of a Point. From time to time, ASTR may run promotions in which your spending may qualify you for a high rate of Points or additional Points. Likewise, from time to time, some Program tiers may earn Points at a higher rate than the standard one-to-one ratio.

ASTR reserves the right to modify earning rates at any time in accordance with these Terms.

5.3 Exclusions

The following expenditures are excluded from earning Points and  not an Eligible Purchase: (i) taxes, shipping, or fees; (ii) gift card purchases or redemption; (iii) third-party purchases; (iv) discounted value; and (v) any transactions deemed to be ineligible by ASTR.

5.4 Non-Purchase Activities

Purchase is not required to earn Points. Points may be awarded for product reviews, Account actions, or promotions.

If Points or other incentives are offered for product reviews, the incentives will not be conditioned on the review being positive, negative, or expressing any particular sentiment or rating. Any incentivized review will be clearly and conspicuously disclosed where required.

ASTR, in its sole discretion, may (i) limit, modify, or revoke these opportunities, and/or (ii) impose caps or eligibility requirements.

5.5 Timing

Points typically post to your Account within one (1) business day but may be delayed. ASTR is not responsible for posting delays.

5.6 Missing Points

If Member finds that Points are missing from their Account, Member must submit a request for investigation to ASTR within thirty (30) days. ASTR shall investigate the request within two (2) weeks of receipt. The results of the investigation will be communicated with Member. ASTR will not accept any requests for investigation later than thirty (30) days after the date of Eligible Purchase.


6. POINTS EXPIRATION

Points expire after three hundred and sixty (360) days of Account inactivity. Account Activity includes: (i) earning Points; (ii) redeeming Points, and (iii) other qualifying actions.

ASTR may close inactive Accounts after a reasonable period of inactivity and subject to applicable law. ASTR will provide notice before Account closure or forfeiture of Points where required by law.


7. REDEEMING POINTS

7.1 Conversion

Points may be redeemed for Rewards at rates determined by ASTR. Conversion rates are subject to change at any time. Rates will be determined at the time of redemption and will be disclosed before redemption.

7.2 Redemption

Points and Rewards must be redeemed by the Member associated with the Account. Rewards are issued as discount codes and are to be applied at checkout.

7.3 Limits

ASTR may impose: (i) minimum redemption thresholds, and (ii) maximum redemption limits.


8. REWARDS

8.1 Nature

Rewards are promotional discounts, have no cash value and are non-transferable.

8.2 Restrictions

Rewards (i) apply only to eligible merchandise, (ii) cannot be applied to taxes, shipping, or gift cards, and (iii) cannot be applied retroactively.

8.3 Expiration

Rewards expire based on issuance terms. Generally, Rewards expire after one hundred and eighty (180) days. Other Rewards may vary. Points expiration and Reward expiration operate independently. ASTR is not responsible for expired Rewards.

Reward expiration dates will be disclosed at issuance or in the applicable offer terms. If any Reward is deemed a gift certificate, gift card, store credit or other regulated stored-value product under applicable law, the expiration and redemption terms will apply only to the extent permitted by law. Expired Rewards will not be replaced except where required by law, where the expiration resulted from ASTR’s error or where ASTR determines replacement is appropriate in its reasonable discretion.


8.4 Partial Use

Any unused portions of Rewards are forfeited after use.

8.5 Loss

ASTR is not responsible for (i) lost, stolen, or unauthorized use of Rewards, (ii) expired Rewards. Lost Rewards will not be replaced except where required by law, where the loss resulted from ASTR’s error or where ASTR determines replacement is appropriate in its reasonable discretion.


9. RETURNS, EXCHANGES & ADJUSTMENTS

9.1 Returns

If an Eligible Purchase is returned: (i) Points earned for the initial purchase will be deducted from the Account, and (ii) any Rewards used for the initial purchase will not be refunded unless required by law or expressly stated in the applicable offer terms. Refunds are based on the amount actually paid after discounts and Rewards. ASTR determines any proration of Rewards in a commercially reasonable and consistent manner, based on the value of Rewards applied to the returned items and subject to applicable law.

9.2 Exchanges

If Member makes an exchange on an Eligible Purchase, Points may be adjusted based on price differences.

9.3 Negative Balance

Accounts may have negative Points balances. If an Account’s Points balance negative: (i) future Points offset the balance, and (ii) Rewards cannot be redeemed.

ASTR may restrict or suspend Accounts with negative Points balances.


10. TIERS & BENEFITS

10.1 Qualification

Tier Status is based on qualifying spending on Eligible Purchases over a rolling twelve (12) month period.

Thresholds and benefits are communicated separately and may change with notice where required by law or where changes materially reduce available benefits.

Tier qualification criteria, measurement periods, qualifying spending, excluded purchases, and available benefits will be disclosed on the Program page or in applicable Program communications.

10.2 Maintenance

Tier Status updates automatically. Returns may reduce Tier Status. Downgrades may occur if Tier Status is not maintained, or qualification criteria change.

10.3 Benefits

Benefits (i) are promotional and not guaranteed, (ii) may be modified, substituted, or discontinued, and (iii) may not apply retroactively.


11. ACCOUNT MANAGEMENT

As a Member of this Program, you are responsible for maintaining accurate account information and securing your account. ASTR is not responsible for unauthorized access or lost Points or Rewards.

You may request cancellation of your Program membership by contacting ASTR Customer Service or using any account tools we make available. Cancellation of Program membership may result in forfeiture of unused Points and Rewards, subject to applicable law and any disclosures provided at cancellation.


12. FRAUD, ABUSE & MISUSE

ASTR may take action if it determines, in good faith and based on reasonable evidence, that a Member has: (i) created multiple accounts, (ii) manipulated earning or redemption, (iii) engaged in resale activity, or (iv) engaged in behavior inconsistent with the intended purpose of the Program.

Where practicable and appropriate, ASTR may provide notice and an opportunity to respond before permanent Account termination, except in cases involving fraud, security risks, legal compliance, or material abuse.

Consequences may include removal of Points and Rewards and Account suspension or termination.


13. PROMOTIONS & TARGETED OFFERS

ASTR may offer promotions that: vary by Member and may include additional terms. Offers may be modified or canceled at any time.

Targeted offers may be based on your Account activity, purchase history, location, preferences, engagement, or other personal information, as described in our Privacy Policy. Some offers may be available only to selected Members and may not be transferable.

If an offer involves SMS, email, push notifications, or other marketing communications, participation is subject to applicable consent and opt-out requirements. Consent to marketing communications is not required to make a purchase unless expressly permitted by law.


14. ACCOUNT TERMINATION

If your Account is closed all Points and Rewards are forfeited and benefits will not be reinstated.


15. PROGRAM MODIFICATION OR TERMINATION

ASTR may: (i) modify Program structure, (ii) change earning or redemption rules, or (iii) terminate the Program. These changes may reduce or eliminate the value of Points or Rewards. For material changes or Program termination, ASTR will provide advance notice where required by law and, where reasonably practicable, will provide Members with an opportunity to redeem existing Points or Rewards before the effective date of termination or material devaluation. Changes will not affect Rewards already redeemed before the effective date, except to prevent fraud, correct errors, or comply with law.


16. ERRORS & INCONSISTENCIES

ASTR may correct errors at any time. In the event of any inconsistency between these Terms, and any applicable marketing or promotional materials, these Terms shall control.


17. TAXES

Members are responsible for any applicable taxes.


18. LIMITATION OF LIABILITY

To the fullest extent permitted by law: (i) the Program is provided “as is,” (ii) ASTR disclaims all warranties, and (iii) ASTR is not liable for indirect or consequential damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including statutory consumer rights, fraud, intentional misconduct, or other non-waivable rights. Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so some limitations may not apply to you.


19. DISPUTE RESOLUTION

19.1 Informal Resolution

You agree to attempt to resolve any disputes informally by contacting ASTR before initiating legal action.

19.2 Arbitration

Any dispute arising out of or relating to the Program will be resolved through binding individual arbitration, administered by a recognized arbitration provider under its applicable consumer arbitration rules, unless you opt out or applicable law gives you a non-waivable right to proceed in court. ASTR will pay arbitration fees to the extent required by the arbitration provider’s rules or applicable law.

19.3 Class Action Waiver

To the fullest extent permitted by law, you and ASTR agree to resolve disputes only on an individual basis and not as a plaintiff or class member in any class, collective, consolidated, private attorney general, or representative proceeding. This waiver does not limit any non-waivable public injunctive relief rights under California law.

19.4 Small Claims and Agency Rights

Either party may bring an individual claim in small claims court if eligible. Nothing in these Terms prevents you from filing a complaint with a government agency or regulator.


20. GOVERNING LAW

These Terms are governed by the laws of the State of California without regard to conflict-of-law principles and without depriving consumers of mandatory protections available under the laws of their state or country of residence, where such protections apply.


21. ASSIGNMENT

ASTR may assign its rights and obligations under these Terms at any time, including in connection with a merger, acquisition, or sale.


22. SEVERABILITY & SURVIVAL

If any provision is unenforceable, the remaining provisions remain in effect. Provisions relating to limitation of liability and dispute resolution shall survive termination.

24. NOTICE OF FINANCIAL INCENTIVE

The Program may be considered a financial incentive, price difference, or service difference under California privacy law. We may collect and use personal information such as identifiers, contact information, purchase history, account activity, preferences, loyalty activity, review activity, and marketing engagement to administer the Program, provide Rewards, personalize offers, and measure Program performance.


Before enrolling, California consumers will be provided with any required Notice of Financial Incentive, including a summary of the incentive, material terms, categories of personal information involved, how to opt in, how to withdraw, and an explanation of how the incentive or price/service difference is reasonably related to the value of the consumer’s data. You may withdraw from the Program at any time by contacting us at [email protected].


25. REVIEWS, ENDORSEMENTS & NON-PURCHASE POINTS

Where Points are awarded for reviews, testimonials, social posts, referrals, or similar activity, the Points are offered regardless of whether the content is positive, negative, or neutral. Members must disclose any incentive, free product, discount, employment relationship, affiliate relationship, ambassador relationship, or other material connection to ASTR when required by law. ASTR may withhold or revoke Points for reviews or content that are fake, misleading, generated by bots, not based on genuine experience, or otherwise violate ASTR’s policies or applicable law.


26. GIFT CARDS, STORE CREDIT AND PROMOTIONAL REWARDS

Rewards issued through the Program are promotional discounts issued without payment by the Member and are not gift cards or store credit unless expressly stated. If ASTR issues store credit, gift cards, or other stored-value products separately from the Program, those products may be subject to different terms and applicable gift card laws. If any Program Reward is deemed subject to gift card, stored-value, unclaimed property, or escheat laws, ASTR will administer that Reward in accordance with applicable law.
